These terms govern participation in the Stoke Referral Program ("Program"). By signing up for a referral link, you ("Referrer") agree to these terms in full.
The Program is open to individuals 18 years of age or older who have a valid bank account for receiving ACH payments. Stoke employees, contractors, and their immediate household members are not eligible. Stoke reserves the right to deny or revoke participation at its sole discretion.
Upon enrollment, you receive a unique referral link. When a new customer clicks your link and completes a qualifying founding advisor purchase within 60 days, that purchase is attributed to you. Attribution is determined by first-click — if a visitor has clicked multiple referral links, only the most recent click within the 60-day window is credited.

Payouts are calculated and disbursed monthly, typically within the first 5 business days of each month for the prior month's qualifying activity. The first payout for a given referral is issued the month after that customer's first paid invoice clears — not the month of the referral itself.
Payouts are issued via ACH bank transfer to the bank account you provide during enrollment onboarding. Stoke uses Stripe for secure bank-account collection. Referrers are responsible for ensuring their banking details remain current. Stoke is not liable for misdirected payouts due to incorrect account information.
If your cumulative payouts from Stoke exceed $600 in a calendar year, Stoke will issue a Form 1099-NEC to you and file it with the IRS as required by law. You are solely responsible for reporting and paying any applicable taxes on referral income. Stoke does not withhold taxes from referral payouts. Stoke may request a completed Form W-9 before issuing payouts.
If a referred customer initiates a chargeback or payment reversal on any invoice, the corresponding referral payout for that invoice will be deducted from your next scheduled disbursement. If no future disbursement is available, Stoke will invoice you for the amount. Repeated chargebacks by customers you referred may result in termination from the Program.
Referring yourself, creating a new account to use your own link, or arranging any transaction in which you are both the Referrer and the referred customer is strictly prohibited. Any payout resulting from a self-referral will be reversed, and the Referrer will be permanently removed from the Program.
Stoke monitors referral activity for fraud, including but not limited to: creating fictitious customer accounts, incentivizing customers with undisclosed payments, making false representations about the product, and generating artificial clicks. Any Referrer found engaging in fraudulent activity will be immediately removed from the Program, all pending payouts forfeited, and Stoke reserves the right to pursue legal remedies.
Stoke reserves the right to modify or terminate the Program at any time with 30 days' notice. Changes to payout rates apply only to new referrals made after the effective date of the change — existing qualifying referrals continue at the rate in effect at the time of their purchase for the remainder of their 12-month payout period. Stoke also reserves the right to deny program admission to any applicant without explanation.
Participation in the Program does not guarantee any specific level of earnings. Payouts depend entirely on successful referrals and the continued subscriptions of referred customers. Stoke makes no representations about potential earnings.
Referrers are independent participants, not employees, agents, partners, or representatives of Stoke. Nothing in these terms creates an employment relationship or entitles Referrers to benefits, equity, or other compensation beyond the referral payout structure described herein.
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
